Deciphering the Proposed Regulations and Their Effect on the Business Owner

On August 2, 2016, the Internal Revenue Service Issued its proposed regulations (Section 2704) which impact the transfer on interests in family owned companies, as well as the value of those entities for transfer purposes. In this session we will:
- Discuss the key regulations;
- Discuss issues related to the regulations and their applicability for transfer planning purposes, as well as challenges which may be made to the regulations;
- Provide insight into the impact for business planning purposes, as well as potential litigation; and
- Facilitate discussion with the audience relative to applicability and client advice.
We will use case examples to illustrate the impact of the regulations and will provide insight for clients on the application to individual situations.
Additionally, we will talk about the potential implications outside of estate and gift tax planning, including how these regulations may affect litigation valuations as well as merger and acquisition negotiations.
This session will include a slide deck summarizing the key regulations and their impact, for use in communicating with clients.

Brandon Otis is a Managing Director in BDO Consulting’s Pittsburgh office. Joshua Lefcowitz is a Managing Director in BDO Consulting’s Valuation & Business Analytics Practice in the firm’s Pittsburgh office. Mr. Lefcowitz has nearly 15 years of public accounting experience providing dispute advisory, forensic accounting, and valuation services for a wide array of purposes. Mr. Lefcowitz has performed business valuations, as well as valuation services related to intangible assets, purchase price allocations, intellectual property, oil and natural gas rights in Marcellus Shale formation, and goodwill impairment testing.
He has significant experience serving clients across a range of industry sectors, including oil and gas, healthcare, manufacturing, retail, professional services, technology, biotechnology, wholesale distribution, and advertising.
Mr. Lefcowitz is a Certified Public Accountant in Pennsylvania and is Accredited in Business Valuation and Certified in Financial Forensics. He also holds designations as an Accredited Senior Appraiser, Certified Valuation Analyst and Certified Fraud Examiner. Notably, Mr. Lefcowitz was one of only 15 Accredited Senior Appraisers to complete the American Society of Appraiser’s Inaugural Multidisciplinary Advanced Education in Healthcare Valuation Program.

Ms. Anderson has advised and provided consulting services to clients for more than ten years. Her expertise includes working with affluent clients in the areas of trust administration, fiduciary responsibility, gift taxation, generation-skipping transfer taxation and estate taxation and planning. Ms. Anderson’s experience has focused on assessing current situations, identifying risks and proposing possible solutions to achieve the most optimal results.
Ms. Anderson serves a diverse client base by providing a wide range of services including: estate and trust planning; multi-generational wealth transfer; tax planning and risk management.
Ms. Anderson has spoken on various estate tax topics and has been quoted in several publications.
