Activism is no longer just the purview of a few activist hedge funds, but is increasingly being used by a broader base of investors to elicit corporate change.  Shareholders become activists for a complex set of issues, with CEO & executive compensation being used as the entry point of discussion about larger strategic/financial issues.  For the unwary, compensation can become the trigger point to support that the strategy is flawed, with the flaw being reinforced by compensation.  Our distinguished panel brings you perspectives and best practices for maximizing the impact of your disclosures, bringing perspectives from having defended against activism to having participated in activism resulting from compensation issues.

Ted Buyniski is a Partner in Radford, and leads the Executive Compensation practice. He serves clients across the US and globally primarily in the technology space. He focuses on executive and equity-based compensation and corporate governance issues, and has worked with more than 50 companies making the private-to-public transition. He has more than 30 years of tax, legal and human resources experience, as a tax attorney, consultant, and head of compensation for AlliedSignal (now Honeywell).

Ted is a contributing author to Executive Compensation: A Strategic Guide, published by the Harvard Business School Press, Equity Compensation in a Post-Expensing World, and The Compensation Handbook. His articles have been published in Workspan, Directorship, GEOnomics, and Compensation & Benefits Review.  He speaks extensively on executive compensation and equity for groups including the Global Equity Organization, Institutional Shareholder Services, National Association of Corporate Directors and the National Association of Stock Plan Professionals. He is frequently quoted in the business press.

Ted is a member of the Massachusetts Bar and a Certified Employee Benefits Specialist. He received a JD from Boston University School of Law and a BSFS from the Edmund A. Walsh School of Foreign Service at Georgetown University.
Paul Mansky is currently Vice President of Financial Planning and Investor Relations at privately-held Kony, Inc, the world’s leading enterprise mobile application solutions provider, including both SaaS and on-premises solutions. Previously, he was Vice President of Corporate Development and Investor Relations at Emulex Corp, where he successfully helped re-position the company prior to managing a strategic sale to Avago Technologies, now Broadcom Ltd. Prior to his transition to corporate roles, Mr. Mansky spent over 15 years as a Senior Technology Equity Research Analyst at Investment Banks including Citigroup, Canaccord Genuity, and ThinkEquity, where he received distinction as among the best in his field from the Wall Street Journal, Financial Times, and Greenwich Associates. 
Erika Varga McEnroe is Vice President, Deputy General Counsel and Chief Ethics & Compliance Officer at Synopsys, Inc., a publicly-traded software company recently added to the S&P 500. She is currently responsible for corporate governance, public reporting, ethics & compliance, mergers and acquisitions, marketing-related legal matters and procurement. She joined Synopsys in April 2007 from SupportSoft, Inc., where she took the company public in 2000 and served most recently as Vice President, General Counsel and Secretary. Prior to SupportSoft, she was Legal Counsel for Marimba, Inc. and an associate with the law firm of Hoge, Fenton, Jones & Appel. Ms. McEnroe began her career as an auditor at Ernst & Young. She holds a Bachelor of Science degree from Babson College in accounting and economics, as well as a Juris Doctorate from University of California, Hastings College of the Law. 


Beatriz Infante is a four-time CEO and ten-time board director with a proven track record of successfully leading businesses to growth, profitability and shareholder return. She is now Chief Executive Officer of BusinessExcelleration, which provides management consulting services to companies and CEO’s, and currently serves on the boards of Liquidity Services, Sonus Networks, and Ultratech, and is an advisor, investor and board member with several private companies. Prior to her current roles, Ms. Infante led several high-growth technology businesses ranging from inception thru $2B in annual revenues, with roles including Chairman, President and CEO of Aspect Communications, CEO of ENXSuite, CEO of VoiceObjects, and CEO of Sychron, and senior vice president at Oracle Corporation, reporting directly to Larry Ellison. Ms. Infante is an NACD Board Leadership Fellow and is a prolific speaker at NACD events on a broad range of topics, including governance, cybersecurity, and the need for diversity and digital expertise at the board level. In 2016, she was named to the NACD’s Directorship 100, honoring directors who “exemplify knowledge, leadership, and excellence in corporate governance.”  Additionally, she was named by Financial Times to its 2013 Top 50 Digital Directors list. Ms. Infante holds a Bachelor of Science and Engineering degree in Electrical Engineering and Computer Science from Princeton University and holds a Master of Science degree in Engineering Science from California Institute of Technology. She is also the author of The Mandate for Corporate Renewal: A Leader’s Guide, and contributing author to Profitable Customer Relationships: The Keys to Maximizing Acquisition, Retention and Loyalty.
