Describe the state and local tax due diligence process and the various contractual methods of dealing with known exposures, including the importance of addressing state and local tax issues in advance of a liquidity event.

Identify types of historical state and local tax exposure items commonly encountered during due diligence related to income, sales, property, and payroll taxes.

Discuss the sales tax and real estate transfer tax issues that may arise in the context of a transaction/liquidity event based on the legal entity type and structure of the transaction.
