• M&A Integration and Carve-Out

Complex issues, straightforward advice.

Acquiring a company is a complex and often challenging process – one that includes the periods before and after the actual deal is completed. Mismanagement in either the pre- or post-merger stage can result in unforeseen and often unnecessary setbacks and business disruption.

At BDO, we help our clients with all their pre- and post-merger acquisition needs, as well as their buy-side and sell-side carve-out needs. Our professionals have deep experience working across industries, with clients large and small, with both acquiring and acquired companies.

M&A Integration Plan

Whether the acquired company needs to be integrated into the existing company or stood up as a separate business, we help clients maintain focus on the transaction priorities and value drivers in order to realize synergies and reduce transaction risks.

Key M&A integration services include:
  • Day 1/100 planning
  • Development of integration strategy and priorities
  • Integration and synergy capture planning and execution
  • Integration Management Office (IMO) mobilization
  • Operational model design

Carve-Out Advisory

We help companies divest non-core divisions and maintain focus on preserving value throughout the transaction by minimizing disruption to the ongoing business and disentangling complex areas. We also help companies acquire and integrate these divested divisions. We have extensive experience in addressing the unique challenges of these types of transactions, such as developing stand-alone cost models, defining Transition Services Agreements (TSAs) and minimizing/eliminating stranded costs.

We help with the following:
  • Carve-out Management Office (CMO) mobilization
  • Carve-out planning and execution
  • Carve-out strategy
  • Day 1 planning
In addition to these operational carve-out services, BDO has a full suite of services to support divestitures. Divestitures – full-enterprise sales, carve-outs, spin-offs and joint ventures – represent high-stakes transactions with unique complexities. That is why BDO created the Divestitures Management Office – offering capabilities to support carve-out financial statement preparation, tax analyses, sell-side due diligence, and operational, IT, and HR preparedness – to help ensure that all phases of divestiture transactions are executed properly. Our aim is to support our clients in realizing maximum value with minimum disruption to operations.
