Executive Summary

Rich Morris is a Managing Director with BDO’s M&A tax practice. He has almost 20 years of experience advising clients in cross-border and domestic taxable and tax-free mergers and acquisitions, corporate reorganizations, spin-offs, and financings. He leads both buy-side and sell-side diligence projects and represents private equity funds, as well as private and public companies. Rich frequently assists with post-acquisition integration of acquired businesses.
Rich has represented clients in a wide variety of industries, including manufacturing, technology (software, software as a service, e-commerce, hardware, etc.), and consumer products. He assists U.S. companies investing overseas, as well as foreign companies investing in the U.S.
Prior to joining BDO, Rich was the Tax Director of Autodesk, a highly acquisitive global software company, and he held M&A tax and tax positions at Ernst & Young, KPMG and Arthur Anderson. Since 2001, Rich has been an adjunct professor at Golden Gate University, teaching in the masters of tax program. Most recently, he taught the course “Taxation of International Mergers, Acquisitions and Joint Ventures.”
