The presentation will be delivered by Andy Gibson, Randy Ramirez and Mike Conover within the Compensation & Benefits practice of BDO USA, LLP in partnership with Mara Rogers, Partner with the law firm Fulbright & Jaworski, L.L.P. Specifically, this program will review the current state of the Dodd-Frank Act’s provisions related to executive compensation (including say on pay, golden parachutes, and clawbacks) and provide practical guidance on how to evaluate and prepare disclosure concerning existing or and future executive compensation arrangements.

Learning Objectives:

  • Summarize the Dodd-Frank provisions that impact executive compensation
  • Review the current state of proposed rules with regard to say on pay, golden parachutes, and clawbacks.
  • Review ISS’s applicable voting guidelines and emerging trends and approaches
  • Discuss the impact on company compensation arrangements and disclosures as well as governance structure of compensation committees
  • Provide practical guidance to companies on how to evaluate arrangements to:
    • Encourage early and thorough assessments of existing compensation plans
    • Assist with prudent decisions regarding making changes to compensation plans
    • Highlight key areas of focus with respect to disclosure considerations
